SDSCOPE VEHICLE ELECTRONIC CONTROL UNIT REAIRS SERVICES PARTNERSHIP PROGRAM TERMS AND CONDITIONS
Effective 5 April 2020
1. These terms and conditions ("Terms") govern how the partnership for vehicle electronic control unit repairs services ("Services", "Service") between you ("Partner") and Softclick Investments (Private) Limited, registered in the Republic of Zimbabwe, trading as SDscope, ("SDscope", "Us", "We"). By participating in this partnership program (“Program”), you are agreeing to these terms below. Please read them carefully.
2. You can contact us by telephoning or sending a WhatsApp message to +263 77 341 9956, or by writing to us at Softclick Investments, 6th Floor Batanai Gardens, 57 Jason Moyo Avenue, Harare, Zimbabwe or by completing the contact form available at the "Contact Us" link here.
3. Referral Partner Program
3.1 You contact our vehicle electronic control unit ("ECU") repairs sales representative and provide them with the contact details of your client ("End User"), details of their ECU problem and your Partner ID or company name.
3.2 We will be solely responsible for handling your client including managing the sales cycle, and will directly enter into contract with the client.
3.3 You will not engage in the sales cycle nor present proposed contracts or pricing to the end user for the services unless expressly requested by SDscope.
3.4 A referral fee equal to 7% of the client invoice for completed services is payable to you net 10 days from the day we receive payment from the client.
3.5 We will ask you to provide us an invoice for the referral fee which you must provide within 3 months. If you fail to provide the invoice within this time your referral fee will cease to be payable.
3.6 We will not pay a referral fee for a project that cannot be identified by your Partner ID or company name. You must ensure that the client enters your Partner ID or name in the "How Did You Hear About Us" field on the vehicle electronic control unit repairs services request form.
3.7 No referral fee is payable by us to you for a job if an entity contacts us direct, is an existing client or is currently in negotiations with us to become a client before a referral by you.
3.8 No referral fee is payable by us to you for a job that has not been agreed after 180 days of the referral. Any extension to this time period and payment of referral fee will be at our sole discretion.
3.9 No referral fees are payable by us to you on reopened jobs with extended work.
3.10 No referral fees are payable by us to you for all future direct contracts between the referred client and us unless you make referrals for those future contracts.
3.11 We will discount and/or pay pro-rata based upon the payments secured any amounts for which we must seek collection remedies.
4. Reseller Partner Program
4.1 We will contract directly with you, and you will directly contract with your client.
4.2 You will be solely responsible for handling your client including managing the sales cycle.
4.3 We will not engage in the sales cycle in any way unless expressly requested by you.
4.4 We will give you a discount of 10% on the fee for each ECU repair job, except in cases where we participate in the sales cycle upon your request.
4.5 You will provide your client with your own price for the job.
4.6 You will provide details of each ECU problem via the online vehicle electronic control unit repairs services request form in your name. Each request will be governed by our Vehicle Electronic Control Unit Repairs Services Terms and Conditions available here.
4.7 We will give you an invoice in your name for the completed service. The invoice must be paid in full before repaired ECU and related material can be released to you.
4.8 You are solely responsible for all costs related to the services, including but not limited to, shipping and related charges.
4.9 Failing to pay invoices on time will impact your standing in the partnership program.
5. General Conditions
5.1 We shall have sole discretion in accepting your application to the partnership program.
5.2 We reserve the right to revoke your partner status at any time and without notice.
5.3 We reserve the right to terminate the partnership program at any time and without notice.
5.4 We reserve the right to change the terms and conditions governing this partnership program at any time and without notice.
5.5 We reserve the right to refuse any job that creates a potential conflict for us and/or our clients, or risk of physical or financial harm to us, our employees or our contractors.
5.6 Law firms do not qualify as partners for the program.
6. These terms are governed by the laws of the Republic of Zimbabwe.
